The whole dataset: Planned insider sales from Form 144 filings

    What the notice holds

The form names the company, the person selling and their relationship to the company, and the broker handling the sale. It gives the number of shares to be sold, their value, the shares outstanding and the approximate date of the sale. It also lists how the seller got the shares, such as vested stock units or an option exercise, and any sales of the same stock in the past three months. A seller relying on a Rule 10b5-1 plan gives the date the plan was adopted.

Reading a Form 144 beside the Form 4

A Form 144 states what the seller intends, and the rule requires a genuine intention to sell within a reasonable time. The sale itself appears on the insider's Form 4, due two business days after the trade. Putting the two side by side shows whether the planned shares were sold in full, in part, or not at all.

    Questions

    Form 144: common questions

Does a Form 144 mean the shares were sold?

It is a notice of a planned sale. The sale itself shows up later on the insider's Form 4, and sometimes fewer shares are sold than the notice gave, or none.

Is there a time limit to sell after filing a Form 144?

Rule 144 says the seller must have a genuine intention to sell within a reasonable time after filing. The rule itself sets no fixed number of days.

When is a Form 144 not needed?

When the shares sold under Rule 144 in any three months come to 5,000 or fewer and $50,000 or less in total.

    Is Form 144 filed electronically?

Yes. For companies that report to the SEC, the notice is filed electronically on EDGAR.
