The whole dataset: US insider trading data from Form 4 filings
What a Form 4 shows
A Form 4 has two tables. Table I holds the company's ordinary shares, and Table II holds options, stock units and other derivatives. Each row gives the date of the trade, its transaction code, the number of shares, whether they were acquired (A) or disposed of (D), the price, and the number of shares the insider owns once the trade is done. Footnotes explain anything the rows cannot, such as an average price across several sales on one day.
Since 1 April 2023 the form also has a checkbox that the insider ticks when a trade was made under a Rule 10b5-1 trading plan, which is a schedule of trades set up in advance.
How to read one quickly
Start with the transaction code. P is a purchase on the open market or in a private deal and S is a sale, and these two are where the insider chose to trade. A, M and F are about pay: shares granted, options exercised, and shares held back to cover the exercise price or tax. A purchase with the insider's own money is far rarer than a sale, so several insiders buying around the same days tends to draw attention, while a sale under a trading plan says little about what the insider thought that week.
Questions
Form 4: common questions
How long does an insider have to file a Form 4?
Until the end of the second business day after the day the trade was made. A trade on a Monday is due by the end of Wednesday.
What do A and D mean on a Form 4?
A means the shares were acquired and D means they were disposed of. They sit beside the transaction code, so a sale shows as code S with D, and a grant as code A with A.
Is every insider trade reported on Form 4?
Most are. A few kinds of transactions that are exempt from the short-swing profit rule can be reported on Form 5 instead, which is filed within 45 days after the company's fiscal year ends.
Who counts as an insider for Form 4?
The company's officers and directors, and anyone who owns more than 10% of a class of its registered shares.
How quickly does a new Form 4 show up in this data?
Within a day of the Form 4 reaching the SEC.
