What is Form 13F?
Form 13F is the quarterly report an institutional investment manager files with the SEC once it manages at least $100 million in US-listed shares and other 13(f) securities. It lists those holdings as they stood on the last day of the quarter, and it is due within 45 days after the quarter ends, so the holdings are already weeks old when the public reads them.

What a 13F leaves out
A 13F shows only long positions in 13(f) securities, which are mostly shares listed on a US exchange. Short positions, cash and most other assets are not on it. It is also a snapshot of one day, so trades made during the quarter and since its end do not appear. A manager can ask the SEC to keep some holdings confidential for a time, and those show up later in an amendment.
How investors use it
Comparing one quarter's 13F with the last shows what a fund opened, added to, trimmed or sold out of. Adding up every fund's filing for one company shows how many funds hold it and whether, together, they bought or sold. Because of the 45-day gap, it tells you where money has been, which is still useful for seeing who owns a stock you own.
Questions
Form 13F: common questions
When are 13F filings due?
Within 45 days after each calendar quarter ends. When the 45th day falls on a weekend or a federal holiday, the deadline moves to the next business day. The dates for 2026 and 2027 are on the 13F deadlines page.
Who has to file a 13F?
An institutional investment manager with investment discretion over 13(f) securities worth at least $100 million on the last trading day of any month of a calendar year. It then files for that year's end and each quarter of the next year.
Does a 13F show short positions?
No. It lists long positions in 13(f) securities only.
Why are 13F holdings out of date?
They show the last day of the quarter, and managers have 45 days to file, so a filing can describe holdings that are six or seven weeks old.
