What the company does
TriCo Bancshares is a registered bank holding company under the Bank Holding Company Act of 1956. Its principal business is to serve as the holding company for Tri Counties Bank, a California-chartered commercial bank. TriCo is a California corporation incorporated in 1981, and the Bank was organized in 1975. Both are headquartered in Chico, California, and the common stock trades on the Nasdaq Global Select Market under the symbol "TCBK". The Bank serves personal, small business and commercial customers through stand-alone and in-store branches in communities throughout California.
How the business is organised
TriCo has not started any business operations separate from the Bank, so the company is in practice the Bank. The Company also has two capital subsidiary business trusts that it organized. They are accounted for under the equity method and are not consolidated. The Company has not elected to become a financial holding company. Brokerage and wealth management services are offered at the Bank's offices by Tri Counties Advisors, through the Bank's arrangement with Raymond James Financial Services, an independent financial services provider and broker-dealer.
What it sells
The Bank accepts demand, savings and time deposits. It makes small business, commercial, real estate and consumer loans. It also offers treasury management services and other customary banking services, including safe deposit boxes at some branches. Customers can use online and mobile banking, a shared nationwide network of over 40,000 surcharge-free ATMs, and bankers available by phone 7 days per week.
How its loans are split
The Bank concentrates its lending in four areas: real estate mortgage loans (residential and commercial), consumer loans, commercial loans including agricultural loans, and real estate construction loans.
- Commercial real estate: 68.3% - Consumer: 18.5% - Commercial and industrial: 6.5% - Construction: 4.2% - Agriculture production: 2.4% - Leases: 0.1%
Loans carry interest rates that vary with the degree of risk, the size and maturity of the loan, the borrower's relationship with the Bank and prevailing money market rates. The Bank takes collateral that includes real estate, securities, deposits, vehicles, machinery, equipment, inventory and receivables. Commitments to extend credit equal 31.2% of total loans outstanding.
How it earns its income
The company says net interest income is its largest source of revenue. This is the difference between interest earned on loans, leases and investment securities and interest paid on deposits and borrowed funds. The Bank did not use brokered deposits during 2025 or 2024.
Who it serves and where
Most of the Bank's deposits come from individuals and business-related sources. The filing says no single person or group provides a material portion of deposits, and no material portion of loans is concentrated in one industry. Business customers span manufacturing, real estate development, retail, wholesale, transportation, agriculture, commerce, oil and gas, and professional services. The owners of these businesses are often personal customers too. Most loans are direct loans to individuals and businesses in California where the Bank has branches or business lending centers. The filing defines northern California as the area north of and including Stockton and San Jose, central California as the area south of those cities to Bakersfield and San Luis Obispo, and southern California as the area south of Bakersfield and San Luis Obispo.
How it competes
The Bank competes with national and regional banks, savings institutions, credit unions, brokerage firms, money market funds, mutual funds and financial technology companies. The filing says larger banks have a greater ability to finance technology and marketing and have higher lending limits. The Bank relies on local promotional activity, personal contacts by its officers, directors, employees and shareholders, extended hours, personalized service and its reputation in the communities it serves.
Rules it operates under
The Federal Reserve Board supervises TriCo. The Bank's capital levels have exceeded the minimums needed to be considered well capitalized under the prompt corrective action framework since its adoption. Its commercial real estate concentration, net of owner-occupied loans, was 188.6% of capital, and its construction and land development concentration was 21.5%.
Its people
The company employed 1,148 people, equal to 1,135 full-time equivalent employees. None are represented by a union or covered by a collective bargaining agreement. The company lists its values as trust, respect, integrity, communication and opportunity. Benefits include employer subsidized health insurance, tuition reimbursement, a 401(k) retirement plan and an employee stock ownership plan. During 2025, employees logged more than 10,100 volunteer hours supporting more than 350 organizations.
